All invoWes shall be: Submitted in accordance with (tequest fnr Proposal. l8- <br />04-03. <br />The City will pay PI'Operiy submitted invoices within thirty (30) days of recOpt, for completed <br />and accepted Services, unless the City notifies the ConSLLltanL in writing o['the dispute, before the <br />payment is due. Invoice format and documentation should be acceptable for (i INIA <br />reimbursement, The City will not pay andlor reimburse any additional cast:; including, but not <br />limited to, travel, mileage, lodging, meals, and other travel and subsistcnec expenses. The <br />Consultant should Submit reRularr invoices for no mare than 30-day periods_ Invoices will he <br />subject to verification and approval by the department rcgLrestingr the scarlet. The City s <br />performance and obligation to pays under this Agreement is contingent upon an annual <br />appropriation for its purpose by the City Commission. The Consultant shall make no outer <br />charges to the City for supplies, labor, taxes, licenses, permits, overhead or any otherexpenses or <br />costs unless any Such cxpertsc or cost is incurred by Consultant wiLh the: prior written approval of <br />the City. If the City disputes any charges on the invoices, it tnay make payment of the uncontested <br />amounts and withhold paymenL on the contested amounts tuitil they are res€ lved by agrer�ment <br />with Consultant. There arc no rchnbursable expenses associatctl with this Agrecincnt, <br />1.6. TIME IS OF THE ESSENCE. All parties agree that time is o[' the csse<nce. The <br />Consultant must provide sufficient equipment and labor, based on the magnitude of the disaster <br />and information from damage asscssmcnts. necessary to nie:ct ffic City`s time:line:s as follows; 1) <br />monkoring the primary rights -of' way Within 24 hours. of receiving the task order, 2} monitoring <br />that the removal of debris is started within 48 lurttrs € Freceiving the task order_ and 3) monitorinv <br />that removal of dehris must be underway in all z€ones !within 70 hours. <br />1.7. IiNDEPENDENT CONTRACTOR RELATIONSHIP. The Consultant is an <br />independent Contractor and shall be treated as such for all purposes.
