AGREEMENT FOR ENGINEERING SERVICES This Professional Services Agreement ("Agreement") is made and entered into as of the day of February, 2015 (the "Effective Date") between Bal Harbour Village, a Florida municipality (the "Village") and Craig A. Smith & Associates of Florida, Inc. ("Consultant"), whose principal place of business is 1000 7777 Glades Road, Suite 410, Boca Raton, FL 33434, with each being referred to herein as a Party or collectively as the "Parties." WHEREAS, in accordance with Section 287.055, Florida Statutes, the Village solicited proposal from qualified engineers and selected Consultant to provide continuing professional engineering services for various projects on an as needed basis; and WHEREAS, in 1999, the Village entered into a Continuing Services Agreement with Consultant (the "Continuing Contract"); and WHEREAS, the Village has identified an immediate need to complete improvements to the Village sewer system which have been outlined in the Village utility master plan (the "Improvements"); and WHEREAS, the Village desires to engage Consultant to complete design, engineering and permitting services related to the completion of the Improvements in accordance with the provisions of the Continuing Contract. NOW THEREFORE, in consideration of the mutual terms, conditions, promises and convenants set forth below, the Village and Consultant agree as follows: I. SCOPE OF SERVICES. Consultant shall prepare engineering analysis, design, permitting and specifications for the Improvements (the "Services"). The Improvements shall include the removal and replacement with an increase in size of the Village's existing gravity sewer system along Harbour Way from Collins Avenue to existing sewer pump station #1, modification of existing connecting sewer system, the replacement of pump station 91 and the restoration of the pavement in the ER
